Vega, an acquisition vehicle wholly owned by the family group of French telecom entrepreneur Xavier Niel, has agreed to acquire e&’s entire stake in Vodafone Group plc. The transaction covers 3,944,743,685 shares, representing 16.21% of Vodafone’s issued share capital and 17.13% of voting rights, at a price of £1.104792 per share. The total consideration amounts to approximately £4.4 billion, a premium of around 13% over Vodafone’s closing price prior to the announcement on July 10, 2026. Upon completion, which is expected by year-end subject to UK regulatory approval, Niel becomes Vodafone’s largest shareholder. Vega has stated that it intends to act as a long-term, supportive minority investor and does not plan to launch a full takeover offer. Niel already held a position in Vodafone through Atlas Investissement, built since 2022, making this transaction a significant increase of his exposure to the British telecom group.

Vega is an investment vehicle wholly owned by the family group of Xavier Niel, the French billionaire best known as the founder of Iliad, the telecom group behind the French mobile and broadband brand Free. Niel disrupted the French telecom market with low-cost offerings and has since built one of Europe’s largest private telecom empires. Through his personal holding company NJJ, he controls telecom operators across Europe, including a 70% stake in Ireland’s Eir, and holds positions in operators in Switzerland, Monaco and the Baltics. His investment activities further include Atlas Investissement, the vehicle through which he first entered Vodafone’s shareholder register in 2022, as well as extensive venture investments in the European startup ecosystem, among them the Paris-based startup campus Station F and the AI company Mistral AI, which he backed early. The Vodafone transaction fits Niel’s long-standing strategy of building substantial minority positions in European telecom incumbents.
